Welcome to WillyWonkaCPA ("Factory," "we," "us," or "our"), the premier affiliate marketing network. By accessing our platform, you ("Affiliate," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and WillyWonkaCPA.

2. Account Registration & Eligibility

2.1 Eligibility Requirements

To become a factory worker (affiliate), you must:

• Be at least 18 years of age
• Have the legal authority to enter into this agreement
• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Comply with all applicable laws and regulations

2.2 Account Approval

All applications are subject to our review and approval process. We reserve the right to reject any application at our sole discretion. Approval is not guaranteed and may take 24-48 hours.

3. Affiliate Obligations & Conduct

3.1 Traffic Quality Standards

All traffic must be legitimate, genuine, and comply with our quality standards:

• Allowed Traffic: Organic search, paid search (SEM), social media marketing, email marketing (with proper opt-ins), content marketing, display advertising
• Prohibited Traffic: Bot traffic, incentivized traffic, misleading advertising, spam, adult content, illegal activities, trademark bidding (unless authorized)

3.2 Compliance Requirements

Affiliates must:

• Comply with all applicable laws, including FTC guidelines
• Include proper disclaimers and disclosures
• Respect advertiser terms and conditions
• Maintain professional conduct in all communications
• Report any technical issues or suspicious activity

4. Payments & Commissions

4.1 Commission Structure

Commission rates vary by offer and are clearly displayed in your dashboard. Rates are subject to change with prior notice.

4.2 Payment Terms

• Minimum Payout: $100 USD
• Payment Schedule: Net-7 (weekly payments for qualified affiliates)
• Payment Methods: Bank transfer, PayPal, cryptocurrency (where applicable)
• Payment Processing: 24-48 hours after approval

4.3 Chargebacks & Reversals

Chargebacks, reversals, or invalid conversions will be deducted from future payments. Excessive chargebacks may result in account suspension.

5. Prohibited Activities

The following activities are strictly forbidden and will result in immediate account termination:

• Click fraud, conversion fraud, or any fraudulent activities
• Self-clicking or encouraging others to click your links
• Cookie stuffing or any form of forced conversions
• Trademark bidding without explicit permission
• Direct linking (unless specifically allowed)
• Cloaking, redirects, or misleading landing pages
• Spamming or unsolicited email marketing
• Adult content promotion (unless specifically approved)
• Illegal activities or promoting illegal products/services
• Creating fake reviews or testimonials

6. Intellectual Property

All content, trademarks, logos, and materials provided by WillyWonkaCPA remain our exclusive property. Affiliates may use approved marketing materials solely for promoting our offers during the term of this agreement.

Unauthorized use of our intellectual property or advertiser materials is strictly prohibited.

7. Account Termination

7.1 Termination by Affiliate

You may terminate your account at any time by providing written notice. Outstanding payments will be processed according to our standard schedule.

7.2 Termination by WillyWonkaCPA

We may terminate or suspend your account immediately for:

• Violation of these Terms
• Fraudulent or suspicious activities
• Poor traffic quality or excessive chargebacks
• Non-compliance with advertiser requirements
• Any reason deemed necessary to protect our interests

8. Liability & Disclaimers

WillyWonkaCPA provides services "as is" without warranties of any kind. We are not liable for:

• Technical issues or platform downtime
• Loss of earnings due to offer changes or terminations
• Third-party actions or advertiser disputes
• Indirect, consequential, or punitive damages

Our total liability shall not exceed the amount of commissions owed to you at the time of the claim.

9. Modifications & Updates

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notifications. Continued use of our services constitutes acceptance of the modified Terms.

10. Governing Law & Disputes

These Terms are governed by the laws of [Jurisdiction]. Any disputes shall be resolved through binding arbitration. You agree to waive your right to participate in class action lawsuits.
